General Terms

“Licensee” – the person or entity who or that has executed this “Agreement Party” – each of MB and Licensee.

“Term” – length of time from the Effective Date.

Products and Services

“Baumann Skin Types System” – a skin-type classification system defining 16 skin personalities developed by Dr. Leslie Baumann. It identifies four key skin attributes (dry/oily, sensitive/resistant, pigmented/non-pigmented and wrinkle- prone/tight). Combining these results in 16 possible types (for example DSNW Skin Type 4).

“Skin Type Questionnaire” – scientifically validated questionnaire for determining the Baumann Skin Type of the User answering the questions.

Now therefore the Parties agree as follows;

Grant of License – MB hereby grants to Licensee, and Licensee hereby accepts, a non-exclusive, limited license to access and use the paper version of the questionnaire during the Term of this Agreement. The Skin Type Questionnaire is copyrighted and may not be used for any commercial purposes. The license provides the ability only to use the Skin Type Questionnaire to gather data and does not give access to the online software. The Licensee will be required to provide a copy of the publication when it publishes.

Fees – The license fee is $100 USD per Term. Fees are due and payable upon execution of Agreement by Licensee.

Term; Renewal; Termination – This Agreement shall continue in effect for a period of two-years (the “Term”) from the effective date and may renew for additional one-year periods annually at an annual cost of $50 USD with written notice of renewal request provided by Licensee to MB or by MB to Licensee at least thirty (30) days prior to the end of the then-current Term.  Either party may cancel at any time with 10 days with cause and with 2 months’ notice without cause.  Cure is solely up to MB.

Restrictions – Questionnaire may not be used to give skin care product advice or for any reason outside of the skin typing research project that you described.  The data you gather on skin types can be used for commercial purposes, but the Skin Type Questionnaire, or any derivative of it may not be used for commercial purposes. The Baumann Skin Types System may not be used for commercial purposes. The Skin Type Questionnaire, skin typing nomenclature, and skin type name, or 4 letter designations are allowed to be used only in the published research paper.
